Terms of Service

The Services are operated by Cradle Labs LLC, a limited liability company registered in Houston, Texas, USA ("Cradle Labs," "we," "us," or "our").

You must be at least 13 years old, and old enough to form a binding contract in your jurisdiction (or have a parent or legal guardian's consent), to use our Services.

Some features require an account. You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

You agree not to use our Services to:

• Create, encode, host, or distribute content that is illegal, fraudulent, deceptive, or infringes someone else's rights.
• Distribute malware, phishing links, or content designed to harm or deceive people who scan or access it.
• Attempt to gain unauthorized access to our Services, other users' accounts or data, or the infrastructure that runs our Services.
• Interfere with, overload, or disrupt our Services (for example, through excessive automated requests).
• Scrape, reverse engineer, or resell our Services without our prior written permission.

We may investigate and take appropriate action, including suspending or terminating accounts, for conduct that violates this section.

You retain ownership of the content you create or upload using our Services (for example, the data encoded in your QR codes and any files you upload). You grant Cradle Labs a limited, non-exclusive license to host, store, reproduce, and transmit that content solely as necessary to operate and provide the Services to you. You're responsible for ensuring you have the rights necessary to submit any content you upload, and for the accuracy and legality of that content.

Cradle Labs owns all right, title, and interest in the Services, including our software, design, branding, and trademarks. These Terms don't grant you any rights to our intellectual property beyond the limited right to use the Services as intended.

Our Services rely on third-party infrastructure providers (described in our Privacy Policy) to operate. Content you create may also encode or link to third-party websites, services, or files that you or other users choose to reference - we do not review, endorse, or take responsibility for third-party content reached through codes or links created using our Services.

We may add, change, or remove features, and may suspend or discontinue a Service, at any time. We'll try to give reasonable notice of material changes that affect saved content, but we don't guarantee the Services will always be available, uninterrupted, or error-free.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRADLE LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, GOODWILL, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold Cradle Labs harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms.

You may stop using a Service and delete your account at any time. We may suspend or terminate your access to a Service if you violate these Terms or if we discontinue the Service, with notice where reasonably practicable.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, and you consent to personal jurisdiction there.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision isn't a waiver of it. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cradle Labs regarding the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
